You will work in partnership with the senior management of Hasbro Studios on all motion picture, television, and digital projects, and will supervise a paralegal and manage the outside counsel on matters of content development, production, and distribution.</p> <h2>Primary Duties &amp; Responsibilities:</h2> <ul> <li>You will have full accountability for the business and legal affairs for Hasbro Studios/Allspark and structuring, negotiating, and drafting development, production, and co-financing agreements with other major studios with regards to motion picture, television, and digital projects, both in animation and live action; drives above-the-line talent agreements (e.g., writer, actor, producer, and director agreements), and major below-the-line agreements (e.g., VFX vendor, marketing vendor, recording studio agreements)</li> <li>You are the lead counsel and a strategic partner to the Chief Content Officer/head of Hasbro Studios, as well as other creative, production, operations, human resources, and finance executives by providing risk analysis and best practice strategies with respect to IP and derivative rights, contractual issues, distribution, financing, copyright, and trademark matters</li> <li>You&#39;ll drives the BA/legal liaison with talent agencies, talent firms, third party networks/SVOD exhibitors and various entertainment unions (e.g., Local #839, SAG/AFTRA, DGA, WGA, etc.)</li> <li>You will be accountable for providing expert BA/legal counsel for Studio Marketing, Music, Cake Mix, and Boulder Studio teams by providing business and legal guidance and negotiating agreements as required</li> <li>You&#39;ll manage external counsel on various high-level deals and is the lead BA partner to Paramount BA/Legal team on co-financed motion picture and television projects</li> <li>You will lead and supervise a paralegal on matters of production legal administration such as clearances, IP rights tracking, credits, copyright, and below-the-line agreements to provide expedient legal services to internal and outside partners</li> </ul> <h2>Education Required:</h2> <ul> <li>Bachelor&rsquo;s (or Higher) Degree</li> <li>JD from an Accredited Law School</li> <li>Member in good standing of a CA State Bar</li> </ul> <h2>Experience Required:</h2> <ul> <li>10+ years of broad experience in motion picture development, production, distribution, legal, and finance, as well as working in a Studio, Network or Entertainment company environment</li> <li>Experience in Kids Media and Entertainment space a plus</li> <li>Effective leadership and interpersonal skills, consensus building and teamwork</li> <li>Self-starter with high level of initiative and level of energy</li> <li>Strong sense of ownership and urgency</li> <li>Strategic critical thinker who also has a high attention to detail</li> <li>Must have an upfront honest open communication style which takes into account setting and managing expectations with multiple stakeholders</li> </ul> <h2>Knowledge &amp; Skills Required:</h2> <ul> <li>Excel at drafting, and should have excellent communication (written and verbal), negotiation, interpersonal and analytical skills.</li> <li>Have the ability to handle competing priorities in a time-sensitive environment</li> <li>Requires good judgement, a team-oriented attitude, a willingness to handle novel matters and projects outside of usual area of practice, the ability to work/communicate well with producers, production personnel, Hasbro Studios senior management, and with other departments including Business Affairs and Hasbro Corporate Legal</li> <li>Extraordinary critical thinking and problem-solving skills</li> <li>Skilled in complex negotiations and working in close partnership with senior management</li> <li>A strong background in copyright law (both US and foreign) and intellectual property matters</li> <li>Experience drafting and negotiating option/first look agreements, rights/purchase agreements, and distribution agreements with a number of major motion picture/television studios and digital content organizations (i.e., Netflix, YouTube, etc.)</li> <li>Experience drafting and negotiating attachment/development agreements, writers&rsquo; agreements, and production services agreements</li> <li>Knowledgeable in all aspects of film and television production and related entertainment matters.</li> <li>Experience in television and digital entertainment development, production, and distribution.</li> <li>Knowledge of advertising and marketing law, including Federal Trade Commission (FTC) guidelines and regulations</li> <li>Knowledgeable of Children&#39;s Advertising Review Unit (CARU) and Children&rsquo;s Online Privacy Protection Act (COPPA)</li> </ul> <p>Hasbro is committed to equality of opportunity in all aspects of employment.
