Attorney (5-month contract) Mon Jan 28 00:00:00 CST 2019 Hong Kong, Hong 533372900 9867 Corporate 9 Temp <p>Reports to: Senior Vice President, Global Legal</p> <p> </p> <p>Within the framework of the International Legal Department and Hasbro’s trading structure the predominant purpose of the role is to provide consistent and efficient legal support to the Global Sourcing business, headquartered in Hong Kong.  In addition, support may be required from time-to-time for the Sales and Marketing businesses across the Asia-Pacific region.</p> <p> </p> <p><strong><u>Responsibilities </u></strong></p> <p> </p> <ul> <li>Draft and negotiate variations to Master Purchase Agreements with Hasbro’s third party manufacturing partners (“Vendors”). Draft or review associated documentation (letters of intent, PO terms and conditions, Material and Product commitment terms and conditions).</li> <li>Put in place appropriate agreements (with Tooling Vendors, Toy Vendors and component suppliers) to manage the commissioning, holding and movement of tooling and purchase of components.</li> <li>Supervise Legal Assistant and/or Paralegal in: providing legal due diligence as part of the new vendor approval process; contract management; and ensuring proper corporate approvals are obtained in accordance with Hasbro’s trading structure when engaging new Vendors and entering into significant commitments.</li> <li>Work with Corporate Tax, Finance and other internal and external partners in undertaking market entry due diligence and providing recommendations for the best sourcing and trading models, in new territories having regard to the relevant regulatory, compliance, trading structure and tax environments.</li> <li>Provide due diligence and advice to the business on establishing a presence in new territories (setting up corporate entities, obtaining appropriate licences, providing post-incorporation assistance).</li> <li>Draft or review miscellaneous contracts required across the business eg, supply, Consultancy, IT-related contracts; NDAs, leases; Equipment Purchase, third-party design, development, and engineering arrangements (with a view to securing and protecting Hasbro IP).</li> <li>Provide due diligence and advice to the business on establishing a presence in new territories (setting up corporate entities, obtaining appropriate licences, providing post-incorporation assistance).</li> <li>Answer day to day contract and other queries (eg. trading structure, licences, brand usage, legal lines, signatories, Code of Conduct, etc.,)</li> <li>Support the Region’s IP enforcement activities – liaising with IP Enforcement Attorney.</li> <li>Such other duties which may be allocated from time to time by the VP International Legal</li> </ul> <p> </p> <p><strong><u>Requirements </u></strong></p> <p> </p> <ul> <li>Minimum 5 years PQE qualified lawyer with general commercial experience within a Legal Department (preferably, FMCG or branded business)</li> </ul> <ul> <li>Fluent written and spoken English, fluency in Cantonese is preferred.</li> <li>Excellent communication & interpersonal skills</li> <li>Ability to multi-task and work to tight deadlines</li> <li>Ability to prioritise and detail oriented</li> <li>Ability to produce written reports which are clear, logical and persuasive.</li> <li>Good Word, Excel and PowerPoint</li> </ul>

Requirements

 

  • Minimum 5 years PQE qualified lawyer with general commercial experience within a Legal Department (preferably, FMCG or branded business)
  • Fluent written and spoken English, fluency in Cantonese is preferred.
