Are you an Attorney who is passionate about helping business teams bring their big ideas to life?  If so, we are looking for an Attorney to join our Licensed Consumer Products Business & Legal Affairs organization who has experience in the digital gaming industry and intellectual property licensing!  This role will provide legal guidance, negotiate deals, and draft agreements for the Digital Gaming Out-Licensing business and the Hasbro Licensed Consumer Products business. This position will be located in the U.S. and will partner with the Hasbro Licensed Consumer Products team and Wizards of the Coast and primarily support digital gaming out-licensing on a global basis, but also merchandising, publishing, location-based entertainment and promotional out-licensing, with a focus on North America. This position may be based in our office in Pawtucket, RI; Burbank, CA; Renton, WA or New York City.

 

A Day in the Life of a Licensing Attorney:

  • Provide counsel and advice to business units, including interpretation and analysis of contract terms.
  • Provide legal support by negotiating and drafting a variety of out-license agreements for third party uses of Hasbro’s intellectual property rights, including in connection with a wide variety of consumer products, digital games, NFTs, retail venues, food/beverage service companies, publishing and live entertainment events.
  • Partner with business to proactively identify and further business strategies in transactions.
  • Draft, review and negotiate with the business tailor-made out license agreements for non-standard licensing deals.
  • Partner with business on negotiation of non-standard clauses.
  • Work directly with senior management in connection with legal issues, risks, priorities and anticipate follow-up needs.
  • Develop standard templates of digital outlicensing agreement as well as other forms such as NDAs, deal proposals, business terms standard terms, amendment letters, agency agreements and debt recovery letters.
  • Provide support in maintaining an efficient contract management process for the Digital Gaming and Licensed Consumer Products businesses.
  • Provide client education and training on relevant legal topics.

 

What You’ll Bring:

  • US qualified lawyer or Juris Doctor Degree from accredited law school (or equivalent).
  • 2 to 3 years of relevant experience in law firm and/or in-house intellectual property department/team.
  • Demonstrable expertise in contract negotiation and drafting.
  • Creative, motivated, supportive team player, high level of organization and detail orientated.
  • Excellent oral and written communication skills.
  • Creative, business-friendly approach to problem solving and the ability to provide high quality legal support in a fast-paced environment.
  • Strong client relations skills, commercial pragmatism, business sense, and the ability to make practical evaluations of risk.
  • Ability to manage and prioritize substantial and diverse workload.
  • Strong knowledge of digital gaming in key territories such as North America, and Asia/Pacific and licensing experience a plus, whether representing licensees or licensors, and whether involving characters and brands or FMCG.
  • Sound intellectual property experience, particularly copyrights and trademarks.
  • Growth mindset, especially with respect to understanding and anticipating issues around new digital platforms and products.
  • Fluency in one or more languages in addition to English is advantageous.
  • Ability to flex schedule in order to meet business needs from various time-zones.
  • Willingness to travel.
